General conditions of use and registration for the My Sysmex customer portal

§ 1     Object of My Sysmex

Sysmex Europe SE, Bornbarch 1, 22848 Norderstedt, Germany has created My Sysmex in order to offer its customers and visitors to its website (Users) a personal area on the website, mysysmex.com. In this area Users may inter alia access more detailed information concerning products, services, events and training courses and may also to some extent, where necessary, obtain services against remuneration with prior notification. Similarly, competitions and participation in surveys are offered. Separate conditions apply to any ancillary services and /or competitions.

§ 2     Conditions of registration

2.1    In order to access the site the User must register with My Sysmex. This requires the User to enter personal details and, where necessary, company details (forename and surname, postal address, telephone number and e-mail address). In accordance with the double opt-in process, on successful registration, the User shall receive an e-mail containing a link by which the User may activate his registration with My Sysmex.

2.2    Registration with My Sysmex is subject to a preliminary check. As a matter of principle those entitled to register are, for example, companies, Government agencies, research institutions, training centres and associations. The registration of consumers to My Sysmex within the meaning of § 13 German Civil Code is subject to proviso.

2.3    The User may at any time cancel his registration with MySysmex without giving notice. For this purpose it is sufficient to send an e-mail to My Sysmex at the address given below. When the notice becomes effective, the User shall no longer be able to use the services accessible through My Sysmex.

2.4    In the event of amendments to these My Sysmex Conditions of Use, Sysmex shall notify the User in good time. If the User is not in agreement with the amendments to the Conditions of Use, he may terminate the contractual relationship at any time in accordance with Figure 2.4. If the User makes no use of the opportunity to terminate, the amended Conditions shall become effective with effect from the date on which the User was notified of the amendment(s). Sysmex shall inform the User of this in its notification.

§ 3    Newsletter conditions

3.1     Furthermore, if required, a subscription to the Sysmex Newsletter can be taken out through My Sysmex; this newsletter will, for instance, on occasion inform the User about new products, competitions and sales promotions. The User may either subscribe to the newsletter on registering with My Sysmex or may subscribe through his User profile once he has successfully registered with MySysmex. For this purpose the User must mark the appropriate newsletter check box on the My Sysmex website. In accordance with the double opt-in process, on successful registration, the User shall receive an e-mail containing a link by which the User may activate his registration with My Sysmex.

3.2    The User may revoke his consent to receipt of the newsletter at any time. For this purpose it is sufficient to send an e-mail to the address given in the newsletter, stating that the User no longer wishes to receive the newsletter in the future. The User will subsequently be removed from the circulation list for the newsletter.

3.3     It is not possible to receive the newsletter, if the User has decided to cease using My Sysmex and cancels his registration with My Sysmex in accordance with Figure 2.4 of these Conditions of Use.

§ 4     Data protection, no liability for hyperlinks

4.1 Our Data Privacy Statement

Anonymous data collection
You can visit Sysmex Europe SE web pages without telling us who you are. We can only determine the name of your ISP, the web page from which you are visiting us, and the web pages you visit on our site. This Information will be evaluated for statistical puposes. But it means you stay anonymous as a single user.

Collection and processing data related to individuals
Data related to individuals will only be collected if you voluntarily provide us with this information, e.g. for a contract, a survey or when registering personalised services.

In the context of personalised services by Sysmex Europe SE, we will process your registration data based on your acceptance for advertising and market research, and process them as needed for configuring electronic services. In addition, should you agree, we will collate the information collected during your visit to our Sysmex Europe SE pages and generate a user profile so we can offer tailored advertising personally to you. This information will be transferred in coded format to counteract abuse of these data by a third party.

Exporting and processing data in states outside European Economic Area

There is no export of data to states outside the EEA.

Use and distribution of data related to individuals
Without your acceptance data related to individuals collected in conjunction with webpages of Sysmex Europe SE will only be used for order processing and processing your inquiries. Beyond this we will only use your data for advertising and market research or for designing electronic services of Sysmex Europe SE if you gave us your acceptance for this in advance. In addition, we will only use your data for tailored personal advertising once we have received your acceptance.

As the acceptance for using your data under the purposes mentioned above may also include transmitting your data to companies of Sysmex Corporation and to business partners of Sysmex Europe SE chosen by you, your data may be transmitted to these parties as well. There will be no other transmittance to other third parties. Your acceptance can be withdrawn at any time, of course.

4.2    Sysmex accepts no liability for the contents of other suppliers, which can be accessed via hyper links on My Sysmex. Many links on My Sysmex refer to contents, which are not stored on Sysmex servers. The contents of external third parties have been checked by Sysmex for illegality and criminal liability when the link was set up. Nevertheless it cannot be excluded that contents may be retrospectively modified by suppliers. Sysmex is not obliged to make constant checks on these and therefore repudiates all liability whatsoever

§ 5     Applicable law, Court of jurisdiction

5.1    German law is the sole applicable law governing the contractual relationship between Sysmex and the customer.

5.2    For all disputes arising from or in connection with this contract the parties agree that the Courts competent for Norderstedt have exclusive jurisdiction.

5.3    In the event that individual provisions of these General Conditions of Use are or become ineffective or invalid, the remaining provisions of these General Conditions of use shall remain unaffected thereby. In place of the ineffective or invalid provision to be replaced the parties shall agree a provision, which comes closest in law to the commercial purpose of the General Conditions of Use. In the event of any omission a provision is to be agreed, such that the parties would have agreed, if they had been aware of the omission at the time of concluding the contract.
